DIMEFX Program, Support & Platform Agreement
The PROGRAM: The "DIMEFX Support & Platform Program" is an optional program in which consultants and clients may participate and place a continuing or "standing" DIMEFX order charged to his or her credit card or checking account. By completing the "DIMEFX Support & Platform Option" payment information with the Agreement, I authorize DIME Financial Group, LLC, hereinafter referred to as DIMEFX, to automatically renew my DIMEFX Charts every business period. (A business period is a full calendar month) DIMEFX is under no obligation to renew my DIMEFX Charts if the authorized account(s) have been overdrawn or closed. I understand that this Agreement does not supersede or modify in any way the terms and conditions of my Consultant Registration Agreement with DIMEFX or DIMFX Policies and Procedures. DIMEFX reserves the right to modify or terminate the "DIMEFX Support & Platform Program" in its sole discretion. PAYMENT AUTHORIZATIOIN: I authorize DIMEFX to withdraw payment for my Support & Platform order(s) from my credit card identified with this agreement. DIMEFX is authorized to withdraw payment equal to $95 USD plus applicable sales tax for my DIMEFX renewal. In order to prepare my Support & Platform order to renew before my subscription expires, I understand that my credit card may be charged up to seven (7) days prior to the scheduled renewal date. I agree to pay a $25 service fee in the event a charge is returned for any reason. I have the right to have the amount of any erroneous charge credited to my credit card account as soon as reasonably possible and upon proper notification to DIMEFX. I shall not hold DIMEFX accountable for all special or consequential damages, whether direct or indirect, resulting from any wrongful debit to my account. CHARGES: To change my Support & Platform method of payment, a new DIMEFX Support & Platform Agreement form must be submitted to DIMEFX. If more than one Support & Platform Agreement has been submitted, the most recent agreement will supersede all previous Agreements. DIMEFX reserves the right to substitute new support and platform and/or change prices without notice. I understand that I will receive a 100% refund on any product where the price has been increased if I notify DIMEFX within thirty (30) calendar days of the date of the renewal, or the period specified by State law of the State where I reside for such refunds, whichever is longer. TERM: This Agreement will remain in effect until you: (1) elect to alter or change any aspect of this Agreement by submitting a new signed Support & Platform Agreement; (2) send, in writing, your cancellation of this Agreement to DIMEFX, with your signature, printed name, address, and Social Security Number, or, if a business entity, a Federal Tax ID Number, or (3) stop payment of any withdrawals by DIMEFX by notifying your issuing bank at least three(3) days prior to the scheduled charging of your account. Cancellation will be effective in the calendar month in which it is received by DIMEFX, provided that your account has not yet been charged for that month; otherwise, cancellation will become effective in month following the month in which your notice of cancellation is received by DIMEFX. Terms used but not defined herein shall have the meanings as described in DIMEFX's Policies and Procedures. I understand that as a consultant of DIME Financial Group, LLC (DIMEFX): a. Neither I nor my spouse has been a DIMEFX Client and has not owned, had ownership affiliation with, or operated any DIMEFX business in the past three months. 4. I understand that the acceptance of this Agreement by DIMEFX does not constitute the sale of a franchise and that there are no exclusive territories granted to anyone. I also understand that I am not acquiring any interest in a security. 5. I understand that DIMEFX makes no claims or warranties of any kind including, but not limited to, any claims for earnings concerning its products, other than those included in DIMEFX's official written literature. I will not create, publish, or distribute any literature or materials representing DIMEFX or its products other than that which is provided by DIMEFX. 6. If I fail to pay for Products or Services on or before the due date, DIMEFX is authorized to withhold the appropriate amounts from my commission and bonus checks or withdraw the appropriate amounts from my credit card/electronic checking account(s), if any, which I have authorized DIMEFX to charge. 7. DIMEFX will not be responsible for the loss of any commissions and bonuses or other payments because of errors or delays in receiving agreements, orders, changes or other necessary information. 8. If any provision of this Agreement is held to be invalid, all other provisions shall remain valid and enforceable. 9. I have carefully reviewed the DIMEFX Policies & Procedures and Definitions of Terms and acknowledge that they are incorporated as part of the Agreement in their present form and as modified from time to time by DIMEFX at its sole discretion. 10. Upon notification to its Clients, DIMEFX may, at its discretion, amend the DIMEFX Policies & Procedures, Definitions of Terms and/or terms of the DIMEFX Client Agreement and this Client Registration Agreement. I agree to abide by any and all such amendments. The continuation of my DIMEFX business constitutes my acceptance of any such amendments. 11. My violation of any of the terms of this Agreement or the Policies & Procedures may result, at DIMEFX's discretion, in forfeiture of commission and bonus checks or other payments from DIMEFX on all or part of my Marketing Organization, cancellation of this Agreement, or other corrective action as specified in the Policies & Procedures. 12. The term of this Agreement is one year. This Agreement will be automatically renewed annually on each anniversary date of the acceptance of this Agreement by DIMEFX, unless otherwise cancelled. This Agreement shall not be deemed accepted by DIMEFX until DIMEFX has received the signed original of this Agreement. 13. All claims or disputes of any nature between one or more current or former Clients and DIMEFX (or its officers or employees), if not resolved by mutual agreement, shall be resolved by binding arbitration in accordance with Commercial Arbitration Rules. Such arbitration shall take place in Seattle, Washington. The arbitration shall be conducted by three (3) arbitrator, one appointed by each of the two (2) parties, and the third appointed by the two party appointees. Discovery shall be permitted in such arbitration and shall be conducted in accordance with the Washington State. The prevailing party in any proceeding between Clients and DIMEFX (or its officers or employees) shall be entitled to an award of attorneys' fees and costs. 14. If this Agreement is altered in any way it will not be deemed accepted by DIMEFX except in its original unaltered form, regardless of passage of time. No product purchase or inventory is necessary to become an Independent Associate. This agreement is not enforced until accepted by DIMEFX. 15. Consumer's Right to Cancel: I may cancel this Agreement for any reason within seven (7) days of purchase by giving written notice to DIMEFX bearing my original signature, printed name, address, and Member ID. Written cancellations will be effective upon receipt by DIMEFX. Cancellation notices must be faxed to 1-253-369-6096. DIMEFX Client Course Agreement 1. Our DIMEFX course for Beginners is value priced for retail clients at only $995 USD and our Advanced DIMEFX Classroom Course which includes the DIMEFX Course for Beginners at $1990 USD. This self-paced course includes a one year subscription to our online DIMEFX Membership Center. Clients will also have access to our one month of support & trading Platform, and a hard copy of the DIMEFX Companion Study Guide. 2. To enroll in the DIMEFX Course for Beginners and/or Advanced DIMEFX Course, payment in full by check or credit card is required. Upon receipt of full payment, DIMEFX agrees to issue Client one User Name and Password giving Client access to the online Client Membership Center for a period of one year and reserve one seat for a one day live classroom course or online course. If Client is unable to attend a scheduled class for which they pre-paid and reserved a seat in advance, Client will be permitted to transfer their reservation to a future scheduled class provided Client gives DIMEFX a minimum 48-hour written transfer notice prior to the start of the originally scheduled Class. 3. Seven-day refund policy. Upon receipt of my written request within 7 days from the agreement date entered below, DIMEFX agrees to refund the prepaid cost of the DIMEFX for Beginners to me less a $45 handling fee. This seven-day refund policy is void when the initial seven-day period expires or when Client begins any one day Class training, whichever comes first. DIMEFX Client Disclaimer Non-disclosure: All DIMEFX educational materials are copyright protected. I agree not to share my User Name and Password with any other person. I also agree not to permit any proprietary information including training lessons, trading methods or systems, forms or vendors to be shared, released or copied in any form without express written permission from DIMEFX. Failure to comply with any of these non-disclosure terms may result in immediate termination of website access without refund and payment of damages to DIMEFX. Non-compete: I agree not to use any of DIMEFX's courses, live training, webcast, chatrooms, marketing material, compensation program, course materials, technology, print, multimedia materials and all other related materials owned by DIMEFX to start or be involved with a competing direct sales or network marketing business in the Forex Industry. I understand that DIMEFX cannot guarantee that I will make a profit and agree that DIMEFX, its officers, employees and independent instructors, associates or consultants will not be held responsible for trading losses. I also acknowledge that the parties providing Forex training are not CTA's (Commodity Trading Advisors) or commodity Brokers.
